New Takeover Rules and Substantial Acquisition Rules
The Irish Takeover Panel has published the Irish Takeover Panel Act, 1997, Takeover Rules, 2022 and the Irish Takeover Panel Act, 1997, Substantial Acquisition Rules, 2022.
The new rules come into effect on 22 July, 2022 and will replace the existing takeover rules and substantial acquisition rules.
From 22 July 2022 the Irish Takeover Rules’ disclosure regime will be revised and move from being principally dealings based to being principally positions based. Parties to takeovers and their financial advisers should note the proposed changes and additional obligations that will be effective from 22 July 2022.
